These Terms & Conditions govern all export sales, quotations, transactions, and supply agreements made by EDGEINC (“Seller”, “Company”, “we”, “our”, or “us”) with any buyer, importer, distributor, reseller, or private label customer (“Buyer”).
By placing an order with EDGEINC, the Buyer fully accepts these Terms & Conditions.

2. Product Nature
​
EDGEINC supplies agricultural and herbal products including Moringa Powder on an “as available” and “commercial trade” basis.

The Buyer understands and accepts that:

• Moringa Powder is a natural agricultural product.

• Product characteristics including color, aroma, texture, taste, particle size, and nutritional values may naturally vary between batches.

• EDGEINC does not guarantee medical, therapeutic, nutritional, pharmaceutical, or health-related outcomes.

EDGEINC does not make claims including but not limited to:

• Organic certification claims

• Medicinal claims

• Disease treatment claims

• Guaranteed nutritional values

• Regulatory approvals in buyer’s country

Unless specifically stated in writing on the invoice or contract, no product shall be considered certified organic or compliant with any special regulatory standard.

3. Buyer Responsibility
​
The Buyer is fully and solely responsible for:

• Verifying product suitability

• Import legality

• Product registration

• Customs clearance

• Local compliance

• Label approval

• Market permissions

• Testing requirements

• Country-specific certifications

• Product resale compliance

The Buyer must independently verify whether the product is permitted for import, resale, or consumption in their country.
​
EDGEINC shall not be responsible for:

• Import rejection

• Customs seizure

• Regulatory action

• Product bans

• Licensing issues

• Delays at customs

• Market restrictions

• Loss of business

• Loss of profit

• Third-party claims

4. No Warranty
​
All goods are sold:

• “AS IS”

• “AS AVAILABLE”

• Without warranties of any kind

EDGEINC expressly disclaims all warranties including:

• Merchantability

• Fitness for a particular purpose

• Commercial performance

• Shelf-life guarantees

• Market acceptance

• Buyer resale performance

5. Pricing & Quotations
​

• All prices are subject to change without notice.

• Quotations are non-binding until invoice confirmation.

• Freight, duties, insurance, taxes, customs charges, and destination charges are excluded unless explicitly agreed in writing.

Currency exchange fluctuations and logistics cost increases may affect final pricing.
​
6. Payment Terms
​
Unless otherwise agreed:

• Advance payment is mandatory before processing.

• Shipment may be withheld until full payment clearance.

All banking charges, intermediary charges, and international transfer fees shall be borne by the Buyer.
​
7. Shipment & Delivery
​
EDGEINC shall make reasonable efforts to dispatch goods within estimated timelines.
​
However, EDGEINC shall not be liable for delays caused by:

• Shipping lines

• Customs authorities

• Government actions

• Port congestion

• Transportation failures

• Natural events

• Supplier issues

• Force majeure events

Risk transfers to the Buyer once goods are handed over to:

• Shipping carrier

• Freight forwarder

• Logistics company

• Port authority

8. Loss, Damage & Transit Risk
​
All transit risk, cargo damage, delay risk, customs risk, storage risk, and destination-country risk shall be entirely borne by the Buyer.

EDGEINC shall not be responsible for:

• Transit damage

• Shipment loss

• Theft

• Moisture variation during transit

• Port storage losses

• Delayed delivery

• Container contamination after dispatch

• Shipping company negligence

​
The Buyer is responsible for arranging cargo insurance if required.
​
9. Packaging
​
Packaging is provided based on export-commercial standards unless customized packaging is agreed separately.

EDGEINC shall not be responsible for:

• Packaging damage after dispatch

• Mishandling by logistics providers

• Repacking by customs authorities

• Warehouse storage conditions at destination

10. Testing & Documentation
​
Any lab reports, test reports, certificates, or export documents provided by EDGEINC:

• Are issued based on available supplier or laboratory information

• Are provided without guarantee for acceptance in the destination country

​
Buyer must independently verify compliance with local authorities.
EDGEINC shall not be liable if:

• Authorities reject documents

• Import permissions are denied

• Additional testing is requested

• Regulatory standards change

11. Returns, Refunds & Cancellation
​
Due to the nature of export agricultural products:

• All sales are final.

• No returns shall be accepted after shipment.

• No refund shall be provided once production, packaging, or shipment has started.

​
Order cancellation after confirmation may result in financial penalties or advance forfeiture.
​
12. Limitation of Liability
​
EDGEINC’s total liability, under any circumstance, shall never exceed the invoice value actually received for the affected goods.

EDGEINC shall not be liable for:

• Indirect damages

• Consequential damages

• Profit loss

• Business interruption

• Reputation damage

• Regulatory losses

• Customer claims

• Market rejection

• Product misuse by Buyer or end customers

13. Indemnification

The Buyer agrees to indemnify and hold harmless EDGEINC from any claims, losses, penalties, damages, liabilities, or legal actions arising from:

• Import violations

• Resale activities

• Product repackaging

• Mislabeling

• Unauthorized claims

• Regulatory non-compliance

• Buyer negligence

14. Force Majeure
​
   EDGEINC shall not be liable for failure or delay caused by circumstances beyond reasonable control including:

• Natural disasters

• Pandemic

• War

• Government restrictions

• Export bans

• Supplier shortages

• Transportation breakdowns

• Labor strikes

15. Governing Law & Jurisdiction
​
These Terms & Conditions shall be governed under the laws of India.
Any disputes shall fall under the jurisdiction of courts located in Nagpur only.
​
16. Acceptance
​
Placement of order, advance payment, purchase confirmation, or shipment acceptance by the Buyer shall constitute full acceptance of these Terms & Conditions.
